These terms govern the relationship between Penovex Limited ("Masser", "we", "us") and the business or individual ("you", "the client") who subscribes to any Masser service.

By subscribing, you confirm you have read and agree to these terms.

1. The Service

Masser provides a subscription web design and hosting service. We build, host, and maintain a bespoke website for your business. Depending on your plan, the service may also include SEO setup, Google Business Profile management, analytics configuration, and ongoing content updates.

All websites are built using a combination of professional design expertise and our proprietary technology platform. The final output is a fully functional HTML website hosted on our infrastructure.

2. Subscription Plans and Pricing

Prices are in GBP and include VAT where applicable. We reserve the right to change pricing with 30 days' written notice. Any price change applies from your next billing cycle, not retroactively.

3. Payment

All payments are processed securely through Stripe. By subscribing, you authorise recurring monthly charges to the payment method you provide.

If a payment fails, we will attempt to collect again in line with Stripe's retry schedule. If payment remains outstanding for 14 days, we may suspend your site. If payment is not received within 30 days, we may cancel your subscription and take your site offline.

4. Your Cancellation Rights

4.1 Cooling-off Period

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have 14 days from the date of your first payment to cancel for a full refund, provided you have not requested that work begin during this period.

By subscribing and requesting your website be built, you acknowledge that you are requesting the service begin immediately and that you understand this may affect your right to cancel within the cooling-off period.

4.2 Monthly Cancellation

After the cooling-off period, you may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are given for partial months.

4.3 What Happens When You Cancel

5. What We Deliver

We will build your website based on the information you provide through our onboarding process. We will use reasonable care and skill in creating your site. However, we do not guarantee:

We offer unlimited revisions during the preview period before payment. After payment, content changes are included in your subscription and processed through the client portal.

7. Intellectual Property

7.1 During Your Subscription

While your subscription is active, you have a licence to use your website for your business purposes. The underlying code, design system, templates, and build process remain the intellectual property of Penovex Limited.

7.2 Client-Provided Content

Any content you provide (logos, images, text, testimonials) remains your property. You grant us a licence to use this content to build and host your site, and in our portfolio and marketing materials (see Section 10).

7.3 After Cancellation

Upon cancellation (without a Code Buyout), your licence to the website code ends. You may not continue to use, host, or distribute the site code.

The website code is owned by Penovex Limited unless you purchase a Code Buyout (Section 9). This means:

You may purchase full ownership of your website code at any time during your subscription for a one-off payment of £399. Upon completion of a Code Buyout:

You may opt out of this by notifying us in writing at team@masser.uk. We will remove your site from our portfolio within 14 days of receiving your opt-out request. Opting out does not affect your subscription or any other terms.

11. Data Collection and Usage

11.1 Your Business Data

We collect and store business information you provide (business name, contact details, industry, service descriptions) to build and maintain your website. See our Client Privacy Policy for full details.

11.2 Your Website Visitors' Data

When we host your website, we act as a data processor on your behalf. Your visitors' data is governed by our Data Processing Agreement and the visitor-facing privacy policy on your site.

11.3 Aggregated and Anonymised Data

You acknowledge and agree that Masser may:

(a) Collect and retain anonymised, aggregated performance data from visitor activity across all Masser-hosted websites, including but not limited to page views, session durations, conversion rates, device types, geographic regions, and traffic sources

(b) Use this aggregated data internally to improve Masser's products, AI build quality, and service delivery

(c) Use this aggregated data to produce industry benchmark reports, performance insights, or other analytical products, provided no individual business or visitor is identifiable

(d) Share or license anonymised aggregate data to third parties (including market research firms, trade bodies, and commercial partners), provided such data cannot be used to identify any individual client, their business, or their website visitors

(e) Retain this aggregated data indefinitely, including after your subscription ends

For clarity: Masser will never sell, share, or disclose your individual business data, your visitors' personally identifiable information, or any data that could identify you or your visitors to any third party. All third-party use is strictly limited to aggregate, anonymised data from which no individual business or person can be identified.

If you purchase a domain through Masser:

We aim for 99.9% uptime for hosted websites. However, we do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (hosting providers, DNS, CDN), and circumstances beyond our control may cause temporary unavailability.

We are not liable for any loss of business, revenue, or data caused by temporary service unavailability.

We may update these terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the updated terms.

16. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
